Fire Membership — Terms of Purchase

These Terms of Purchase ("Terms") are an agreement between you ("you," "Member") and Karla Soto DDS LLC, a Florida limited liability company doing business as Key Elements ("Key Elements," "we," "us"). They govern your purchase of and participation in the Fire Membership program (the "Membership").

By checking the acceptance box at checkout and completing your purchase, you confirm that you have read, understood, and agree to these Terms, including the Refund Policy (Section 5) and the Automatic Renewal terms (Section 4). These Terms incorporate by reference our Privacy Policy, which governs how we collect and use your personal information.

1. The Membership

1.1 The Membership is an annual educational program for dental professionals. It currently includes: on-demand educational content; monthly live sessions; access to a private member community; and access to certain Partner Benefits (Section 7). The specific features included at the time of your purchase are described on the Membership sales page.

1.2 Your Membership term is twelve (12) months beginning on the date of purchase ("Term"), regardless of when you first access the content or when your cohort's live sessions begin.

1.3 We may update, add, replace, or improve content, session schedules, community platforms, and features from time to time, provided the changes do not materially reduce the overall value of the Membership during your Term.

2. Eligibility

2.1 You must be at least 18 years old and a licensed dental professional, dental student, or member of a dental practice team.

2.2 You represent that the information you provide at purchase is accurate and that you are purchasing the Membership for professional education purposes in connection with your practice or employment.

3. Fees and Payment

3.1 The annual Membership fee is the price displayed at checkout, plus any applicable taxes. Promotional pricing (including fast-action or referral discounts) applies only if valid at the time of purchase and only for the period stated in the promotion.

3.2 By providing a payment method, you authorize us and our payment processor to charge the Membership fee, applicable taxes, and any renewal fees under Section 4 to that payment method.

3.3 You are responsible for keeping your payment information current. Access to the Membership may be suspended if a payment cannot be processed.

4. Automatic Renewal — Please Read Carefull

4.1 Your Membership automatically renews for successive twelve (12) month terms at the then-current annual Membership rate, charged to your payment method on file on the first day following the end of your current Term, unless you cancel before the renewal date.

4.2 Renewal reminders. We will send a reminder to the email address on your account at least forty-five (45) days before each renewal date, stating the renewal price and date and how to cancel. We will send additional reminders approximately fifteen (15) days and five (5) days before the renewal date.

4.3 How to cancel. You may cancel auto-renewal at any time and at no cost, effective at the end of your current Term, by either: (a) using the cancellation option in your account settings, or (b) emailing hello@keyelements.co from the email address on your account with the subject "Cancel Membership." Cancellation is effective when we confirm receipt, which we will do within two (2) business days.

4.4 If you cancel, you keep full access to the Membership through the end of your current paid Term. Cancellation does not entitle you to a refund of the current Term's fee.

4.5 It is your responsibility to cancel before the renewal date if you do not wish to renew. Renewal charges resulting from a failure to cancel are subject to the renewal refund rules in Section 5.3, including the deduction of non-recoverable payment processing fees.

5. Refund Policy

5.1 Initial purchase — 14-day refund window

You may request a refund of your initial Membership fee within fourteen (14) days of your purchase date, provided that you have not:

(a) attended (live or by replay of your cohort's session) any live session of your Term;
(b) accessed more than two (2) modules of on-demand content; or
(c) redeemed, claimed, or initiated any Partner Benefit (Section 7).

If any of (a)–(c) has occurred, you are not eligible for a refund, as the Membership's value will have been substantially delivered.

5.2 After the 14-day window

The Membership is an annual commitment. No refunds, credits, or pro-rated reimbursements are available after the 14-day window, including for non-use, change of circumstances, or voluntary cancellation mid-Term.

5.3 Renewal charges

If your Membership renews and you did not intend to renew, you may request a refund of the renewal charge within fourteen (14) days of the renewal date, provided you have not attended a live session, accessed on-demand content, or redeemed any Partner Benefit since the renewal date. No renewal refunds are available after this window.

5.4 Processing fee deduction

All refunds under this Section 5 are issued less the non-recoverable third-party payment processing fees we incurred on your transaction (currently approximately 3% of the amount charged). These fees are charged to us by our payment processor and are not returned to us when a refund is issued. This deduction is disclosed here and at checkout and forms part of your agreed refund terms.

5.5 Redeemed Partner Benefits

Any refund otherwise due will be reduced by the monetary value of any Partner Benefits you have redeemed. Where a redeemed Partner Benefit exceeds the refund amount or cannot practically be reversed, you will not be eligible for a refund.

5.6 How to request a refund

Email hello@keyelements.co from the email address on your account, stating your name and purchase date. Approved refunds are issued to the original payment method within ten (10) business days

6. Chargebacks and Payment Disputes

6.1 If you believe a charge is incorrect or wish to request a refund, you agree to contact us first at hello@keyelements.co and give us ten (10) business days to resolve the issue before initiating a chargeback or payment dispute with your bank or card issuer.

6.2 If you initiate a chargeback without first contacting us, or for a charge made in accordance with these Terms (including a renewal charge for which reminders were sent under Section 4.2), we may: (a) immediately suspend or terminate your access to the Membership and any Partner Benefits; (b) contest the chargeback using our records, including your acceptance of these Terms, access logs, and reminder emails; and (c) recover from you any dispute or chargeback fees imposed on us.

6.3 A chargeback that is resolved in our favor does not reinstate access unless the disputed amount and any associated fees are paid.

7. Partner Benefits

7.1 The Membership may include access to benefits offered through third-party partners, such as discounts, credits, or loyalty program advantages ("Partner Benefits").

7.2 Partner Benefits are provided by the relevant partner, not by Key Elements, and are subject to the partner's own terms, eligibility requirements, and availability. Partner Benefits may be modified, replaced, or discontinued at any time without notice, and their availability is not guaranteed for the duration of your Term.

7.3 Changes to or discontinuation of any Partner Benefit does not entitle you to a refund or credit. Partner Benefits have no cash value and are not transferable.

8. Access and Acceptable Use

8.1 Your Membership grants you a personal, non-transferable right of access for one (1) individual. You may not share your login credentials or provide access to any other person, including colleagues within your practice.

8.2 In the member community and live sessions, you agree to behave professionally and respectfully, not to record sessions or other members, and not to solicit members for competing programs or services.

8.3 We may suspend or remove community access for conduct that violates this Section without refund; repeated or serious violations are grounds for termination under Section 11.

9. Intellectual Property

9.1 All Membership content — including videos, session recordings, documents, protocols, templates, and community materials — is owned by Key Elements or its licensors and is protected by copyright and other intellectual property laws.

9.2 You receive a limited, revocable, non-exclusive license to access the content for your own professional education during your Term. You may not download (except where a download is expressly provided), copy, record, reproduce, distribute, publish, resell, or share any Membership content, in whole or in part.

10. Educational Disclaimer

10.1 The Membership is for educational purposes only. Nothing in the Membership constitutes clinical, legal, financial, or regulatory advice, and no doctor-patient, consultant, or professional advisory relationship is created.

10.2 You remain solely responsible for your own clinical judgment, treatment decisions, patient care, and compliance with the laws and licensing requirements applicable to your practice.

10.3 We do not guarantee any particular clinical, business, or financial outcome, including improvements in case acceptance or revenue.

11. Termination by Key Elements

11.1 We may terminate your Membership immediately, without refund, if you materially breach these Terms — including credential sharing (8.1), content misuse (9.2), unwarranted chargebacks (6.2), or serious community misconduct (8.3).

11.2 Sections 5–7, 9, 10, 12, and 13 survive the end or termination of your Membership.

12. Limitation of Liability

12.1 To the maximum extent permitted by law, Key Elements' total liability arising out of or relating to the Membership shall not exceed the Membership fees you paid to us in the twelve (12) months preceding the event giving rise to the claim.

12.2 To the maximum extent permitted by law, we are not liable for indirect, incidental, consequential, special, or exemplary damages, or for lost profits or lost business opportunities.

12.3 Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Governing Law and Dispute Resolution

13.1 These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

13.2 Informal resolution first. Before starting any formal proceeding, you and we agree to try to resolve any dispute informally by written notice to the other party and good-faith discussion for at least thirty (30) days.

13.3 Binding arbitration. Except as provided in 13.4, any dispute arising out of or relating to these Terms or the Membership shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall be held in Palm Beach County, Florida, or conducted remotely by agreement. Judgment on the award may be entered in any court of competent jurisdiction.

13.4 Small claims carve-out. Either party may instead bring an individual claim in small claims court in Palm Beach County, Florida, or your county of residence, if the claim qualifies.

13.5 Class action waiver. All disputes shall be brought in the parties' individual capacity only, and not as a plaintiff or class member in any class, consolidated, or representative proceeding.

14. Changes to These Terms

14.1 We may update these Terms from time to time. Changes apply prospectively and will not reduce your rights for the Term you have already paid for. The version in effect on the date of each purchase or renewal governs that transaction; we will notify you of material changes with your renewal reminder, and your renewal constitutes acceptance of the then-current Terms.
